By-Laws of the Hudson Valley Wood Carvers

NAME: The name of this organization shall be the Hudson Valley Wood Carvers.

PURPOSE: The purpose of this organization shall be to encourage and advance the interest, knowledge, and performance of woodcarving and its closely allied forms of artistic expression with wood.
INSIGNIA: The insignia shall be a characterization of a beaver using wood-carving tools to have carved the initials HVWC in a standing tree stump, this insignia having been designed by a charter member, Mr. Kenneth Rose.
Officers: Officers shall be elected annually and shall consist of a President, Vice President, Second Vice President, and Treasurer.
President: The President shall conduct the business portion of the meetings and be responsible for communication with the National Wood Carvers Association and other such communications which require the chief officer's representation. The term of office will be for one year with an elected President who has served a full year not eligible to succeed himself in that office.

First Vice President: The First Vice President shall be responsible for the programs of each meeting. At his discretion, he may arrange for a suitable programs to advance the purpose of the club. He is to succeed to the office of the President should that office become vacant during a regular fiscal year.

Second Vice President: The Second Vice President shall be responsible for arranging representation of this club at shows, exhibits, displays, and demonstrations in which members represent the club as a body.

Treasurer: The treasurer shall conduct the financial affairs of the club, being responsible to collect any monies it is necessary to collect such as dues or required commissions from members, and/or any monies due the club from other organizations. It will also be the duty of the treasurer to disburse any monies for debts incurred by the club. He/she shall also be required to give a financial statement at the end of his/her term or at any time it is necessary for him/her to vacate the office. The treasurer and/or the President shall be authorized to sign checks for the club.
MEMBERSHIP: A regular member is considered as one over sixteen years of age and shall pay regular membership dues. A junior member is considered as one sixteen years or younger and shall pay junior membership dues.
MEMBERSHIP DUES: It will be necessary that each individual member of HVWC pay the agreed upon dues of the club which will entitle him/her to equal voice in the affairs of the club. Dues shall be due in January of each year with April 1 being the deadline for dues payment. A member not paid at that time will be considered in arrears and dropped from the roster of active members.
MEMBER'S OBLIGATIONS: All members have an obligation to participate actively in the affairs of the club. This will include regular meetings, shows, demonstrations, displays, carver-in-residence, and any other club approved activities which might arise.
SHOWS. DEMONSTRATIONS. DISPLAYS: Sponsorship by HVWC at shows, demonstrations, and displays will only take place after approval by favorable vote of the membership. This is to include payment of fees, commissions, and individual appearances in the name of HVWC. A club member may petition the club for sponsorship.
Only HVWC active members own complete works will be accepted at approved shows, demonstrations, and displays for display or sale.

A 5% commission will be paid to the club for any sales by a member at any and all shows, demonstrations, and displays under the sponsorship of HVWC. The fair distribution and arrangement of space at a show, demonstration, or display will be under the authority and discretion of the HVWC authorized chairman of that event.

The sale, advertisement, or display of commercial items will not be permitted as part of the HVWC portion of any HVWC sponsored event. This does not preclude advertising or commercial displays at regular meetings.
AMENDMENTS TO BY-LAWS: Amendments may be made by recommendation and a motion passed by the majority of the membership at an official meeting.
